1. Acceptance

By creating an account or using CutReel (the "Service"), you agree to these Terms of Service ("Terms"). If you don't agree, don't use the Service. If you're using the Service on behalf of a company or team, you confirm you have authority to bind that entity, and "you" also means that entity.

2. The service

CutReel analyzes video and audio you upload to produce delivery-scored transcripts, take rankings, clip candidates, captions, and related outputs. Some outputs use third-party AI providers under our sub-processor agreements. Features, limits, and pricing may evolve; material changes will be announced in advance.

3. Your account

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. Provide accurate information. Keep your credentials confidential. You're responsible for activity under your account, including any team members you invite.

5. Your content and license to us

You own your footage. We claim no ownership over the videos, audio, transcripts, or edits you upload or generate.

To operate the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display your content solely for the purpose of providing the Service to you (including processing through our sub-processors as listed in the Privacy Policy).

We do not use your footage or derived signals to train our own models or third-party models. If we ever change that policy, we will notify you and require explicit opt-in.

6. Our intellectual property

The Service — including its software, models, algorithms, prompts, scoring methods, UI, documentation, and branding — is owned by us or our licensors and protected by intellectual property laws. Nothing in these Terms transfers ownership to you.

7. Subscriptions, payments, and refunds

Paid plans are billed in advance, either monthly or annually depending on your selection, through our payment processor (Stripe). Prices are shown in US dollars and exclude taxes where applicable.

All subscription payments are non-refundable. This includes:

If you cancel, your subscription will not renew at the end of the current billing period, and access will continue through that period. We do not prorate refunds for unused time.

We may change pricing on future billing cycles with at least 30 days' notice.

8. Cancellation and termination

You may cancel your subscription at any time from your account dashboard. Cancellation stops future charges; access continues through the end of the paid period.

We may suspend or terminate your account for material breach of these Terms, non-payment, or activity that risks harm to the Service or other users. In those cases, no refund is owed.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that outputs will be error-free, that clip candidates will always land, or that the Service will be uninterrupted or bug-free.

AI outputs are suggestions. You are responsible for reviewing and approving any content before you publish it.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill. Our total liability for any claim arising out of the Service is capped at the amount you paid us in the twelve months preceding the event giving rise to the claim, or one hundred US dollars, whichever is greater.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your content, your violation of these Terms, or your violation of any law or third-party right. This includes claims related to consent, defamation, or IP infringement in footage you upload.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflicts-of-law principles. Any dispute will be resolved by binding arbitration seated in the County of Los Angeles, California, on an individual basis, except that either party may bring claims for injunctive relief in a court of competent jurisdiction. You and we waive any right to a jury trial or class action.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 15 days in advance. Continued use after the effective date constitutes acceptance.
